1. PURPOSE

This document (as well as any other documents referred to herein) governs the terms and conditions applicable to the use of the website www.dareels.com (hereinafter the “Website”) and the purchase or acquisition of products and/or services through it (hereinafter, the “Terms”), regardless of the application, digital platform, medium or device through which the Website is accessed.

For the purposes of these Terms, it is understood that the activity carried out by DAREELS DESIGN through the Website includes the manufacture and sale of furniture, lighting products, textiles and, in general, decoration items.

Before accessing, browsing and/or using the Website, we kindly ask you to carefully read these Terms, as well as the Legal Notice and the General Terms of Use, including the Cookie Policy and the Privacy Policy of DAREELS DESIGN. By using this Website or by placing and/or requesting the acquisition of a product and/or service through it, you agree to be bound by these Terms and all the aforementioned documents. Therefore, if you do not agree with all of the above, you must refrain from using this Website.

Likewise, DAREELS DESIGN reserves the right to amend these Terms at any time and without prior notice. You, as a user of the Website, are responsible for reviewing them each time you access, browse and/or use the Website, as the applicable terms will be those in force at the time you request the acquisition of products and/or services.

3. THE USER

Access, browsing and use of the Website confers the status of user (hereinafter referred to individually as “User” or collectively as “Users”), thereby accepting, from the start of browsing the Website, all the conditions set out herein, as well as any subsequent modifications, without prejudice to the application of the corresponding legally binding regulations, where appropriate.

The information or personal data provided by the User will be processed in accordance with the provisions of the Privacy and Cookie Policy. By using the Website, the User consents to such processing and declares that all information provided is truthful and up to date.

4. USE OF THE WEBSITE

By using the Website, the User agrees to use it responsibly and undertakes to:

(i) Use this Website only to make legally valid enquiries and purchases or acquisitions.

(ii) Not place any false or fraudulent orders. If there are reasonable grounds to believe that such an order has been placed, it may be cancelled and the relevant authorities informed.

(iii) Provide truthful and lawful contact details, such as an email address, postal address and/or other information (see Legal Notice and Privacy Policy).

If the User does not provide all the necessary information, we will not be able to process the order.

The User declares to be of legal age and to have the legal capacity to enter into contracts through this Website.

This Website is primarily intended for Users residing in Spain and complies with Spanish legislation on information society services and e-commerce. DAREELS DESIGN does not guarantee that the Website complies, either wholly or partially, with the laws of other countries. Therefore, DAREELS DESIGN declines all liability that may arise from access by Users residing outside Spain, and does not guarantee shipments or provision of services outside Spanish territory.

5. CONTRACT FORMATION

The information made available to the User on the Website does not constitute a sale offer but an invitation to contract.

The User may formalise the purchase agreement for the desired products and/or services in any of the languages in which these Terms are available on the Website.

The contract shall only be considered concluded when the User receives an order confirmation by email (the “Order Confirmation”).

6. PURCHASE OR ACQUISITION PROCESS

To place an order, Users must follow the online purchase and/or acquisition procedure available on the Website, during which various products and/or services may be selected and added to the shopping cart or final purchase area, and finally click on “Complete order” (the “Order”).

The User must also fill in and/or check the information requested at each step. During the purchase process, before payment is made, the User may modify the purchase details.

Next, the User will receive an email confirming that DAREELS DESIGN has received their Order, that is, the Order Confirmation.

In the event of a stock issue, DAREELS DESIGN will inform the User by email.

Once the purchase process has been completed and the Order Confirmation received, the User consents to the Website generating an electronic invoice which will be sent by email and, where applicable, via the User’s personal login area on the Website.

The User acknowledges being aware, at the time of purchase, of certain specific conditions of sale concerning the product and/or service in question, which are displayed alongside the item’s description or image on its page of the Website, indicating, by way of example and depending on the case: name, price, components, weight, quantity, colour, product details or features, manner in which the services will be provided and/or cost of services. The User also acknowledges that placing the Order implies full and complete acceptance of the specific conditions of sale applicable to each case.

The User acknowledges and agrees that the communications, purchase orders and payments involved in transactions made on the Website may be stored and kept in the computerised records of DAREELS DESIGN in order to serve as proof of the transactions, always respecting reasonable security conditions and the laws and regulations in force in this respect, particularly Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (the “GDPR”), and Organic Law 3/2018 of 5 December on the Protection of Personal Data and guarantee of digital rights (“LOPDGDD”), as well as the rights granted to Users in accordance with the Website’s Privacy Policy.

7. AVAILABILITY

All Orders received by DAREELS DESIGN through the Website are subject to the availability of the products and/or to any circumstance or cause of Force Majeure (as defined in Clause Twelve of these Terms) affecting their supply and/or the provision of services. If difficulties arise regarding the supply of products or if items are out of stock, DAREELS DESIGN undertakes to contact the User and attempt to find a satisfactory solution for both parties, including a refund of any amount that may have been paid by the User.

8. PRICES AND PAYMENT

Prices displayed on the Website are final prices, in Euros (€), and include taxes, unless otherwise stated and applicable by legal requirement, especially regarding VAT.

Product prices on the Website do not include delivery charges, which will be added to the total amount due during the checkout process. The User will be able to consult available delivery options and their associated costs, and freely choose the one that best suits them.

The Website will never automatically add additional costs to the price of a product or service, but only those selected and chosen voluntarily and freely by the User.

Prices may change at any time, but such changes will not affect Orders for which the User has already received an Order Confirmation.

Accepted methods of payment include: credit or debit card, PayPal, and bank transfer, depending on the type of User placing the order.

DAREELS DESIGN uses all means to ensure the confidentiality and security of payment details transmitted by the User during transactions on the Website. The Website uses a secure SSL (Secure Socket Layer) payment system.

Credit cards are subject to checks and authorisation by the issuing bank. If the bank does not authorise the payment, DAREELS DESIGN will not be liable for any delay or failure to deliver and will not be able to enter into any contract with the User.

Once DAREELS DESIGN receives a purchase order from the User via the Website, a pre-authorisation will be made on the corresponding card to ensure that there are sufficient funds to complete the transaction. The charge will be made to the card at the time the User is sent the dispatch confirmation and/or confirmation of the service to be provided.

If PayPal is used as the payment method, the charge will be made at the time DAREELS DESIGN sends the Order Confirmation to the User.

In any case, by clicking on “Complete order”, the User confirms that the payment method used is theirs, or that they have express authorisation to use it.

In accordance with Law 37/1992 of 28 December on Value Added Tax (VAT), Orders will be deemed to be located within Spanish VAT territory if the delivery address is within Spain, excluding the Canary Islands, Ceuta and Melilla. The applicable VAT rate will be that legally in force at the time depending on the specific item in question.

9. DELIVERY

Before placing the Order, the User must select the delivery method that best suits their needs. Except in cases of unforeseen or extraordinary circumstances, or where product customisation is required, the Order will be delivered within the timeframe indicated for each item on the Website and according to the shipping method selected by the User. This timeframe will be stated in the Order Confirmation.

Where applicable, physical delivery of the purchased goods will take place within Spain (mainland and Balearic Islands).

If, for any reason attributable to DAREELS DESIGN, the delivery cannot be made within the timeframe indicated in the Order Confirmation, the User will be contacted and given the option of proceeding with the purchase with a new delivery date or cancelling the Order with a full refund of the amount paid. In any case, home deliveries are made on working days (Monday to Friday, excluding public holidays).

If it proves impossible to deliver the Order due to the User’s absence, the Order may be returned to the warehouse. However, the courier will leave a notice explaining where the Order is and how to arrange a new delivery. To avoid delays, if the User expects to be unavailable at the agreed delivery time, they must contact DAREELS DESIGN to arrange an alternative delivery date.

For the purposes of these Terms, it will be understood that “delivery” has taken place or that the Order has been delivered when the User or a third party indicated by the User has acquired physical possession of the products, as evidenced by signing for the receipt at the agreed delivery address.

Any risks relating to the products shall pass to the User upon delivery. Ownership of the products shall pass to the User once DAREELS DESIGN has received full payment of all amounts due in relation to the purchase, including delivery charges, or at the time of delivery if this occurs later.

Additional costs arising from the rental of cranes or lifts, the storage of goods by external logistics companies, or from returns, shall be borne solely by the User.

10. TECHNICAL MEANS TO CORRECT ERRORS

The User is informed that, if an error is detected when entering data necessary to process a purchase on the Website, such errors can be corrected by contacting DAREELS DESIGN through the contact sections provided on the Website and, where appropriate, through customer service or using the contact details provided in Clause Two (Our Details). Additionally, the User may be able to correct such information through their personal login area on the Website, if available.

In any case, before clicking on “Complete order”, the User has access to the shopping cart or final order summary area where their purchase requests are recorded and can be modified.

Furthermore, the User is referred to the Legal Notice and Privacy Policy for more information on how to exercise their right of rectification in accordance with the GDPR and the LOPDGDD.

11. RETURNS

In cases where the User acquires products through the Website, they are entitled to a series of rights, as listed and described below:

11.1. Right of Withdrawal

The User, provided they are contracting as a consumer and user, has the right to withdraw from the contract within 14 calendar days without needing to provide any justification.

This withdrawal period shall expire 14 calendar days from the day on which the User or a third party authorised by them, other than the carrier, acquired physical possession of the goods purchased on the Website. If the goods comprising the Order are delivered separately, the 14-day period shall expire on the day the User or their authorised third party acquires physical possession of the last of those goods.

To exercise the right of withdrawal, the User must notify DAREELS DESIGN of their decision to withdraw by contacting us through the designated sections on the Website, at the DAREELS DESIGN offices at Calle Mas Resplandis, Unit 3-4, 17213, Begur, Girona, Spain, by phone at +34 972 306 521 or by email at webshop@dareels.com.

Regardless of the method chosen, the User must clearly and unequivocally express their intention to withdraw from the purchase contract. In all cases, the User may use the model withdrawal form that DAREELS DESIGN makes available as an annex to these Terms, although its use is not mandatory.

To meet the withdrawal deadline, it is sufficient for the User to send their communication clearly stating their intention to withdraw before the end of the relevant period.

In the event of withdrawal, DAREELS DESIGN will reimburse the User for all payments received, including delivery costs (except for additional costs resulting from the User’s choice of a delivery method other than the least expensive option offered on the Website) without undue delay and, in any case, no later than 14 calendar days from the date on which DAREELS DESIGN was informed of the User’s decision to withdraw.

The reimbursement will be made using the same payment method used for the original purchase, unless the User expressly requests a different method, specifying the desired alternative. No additional costs will be charged to the User for this reimbursement. However, DAREELS DESIGN may withhold the refund until the products have been received or until the User provides proof of having returned them, whichever comes first.

The User must return or deliver the goods to DAREELS DESIGN at the following address: Calle Mas Resplandis, Unit 3-4, 17213, Begur, Girona, Spain.

The return must be made without undue delay and, in any event, no later than 14 calendar days from the date DAREELS DESIGN was informed of the decision to withdraw.

The User acknowledges and agrees to bear the direct cost of returning the goods (transport and/or delivery), if applicable. Additionally, the User agrees to handle the products with reasonable care while in their possession and will be held liable for any depreciation in value caused by handling beyond what is necessary to determine the nature, characteristics, and functioning of the goods.

The User acknowledges that certain exceptions to the right of withdrawal apply, as set out in Article 103 of Royal Legislative Decree 1/2007 of 16 November, which approves the revised text of the General Law for the Defence of Consumers and Users and other complementary laws. This includes, for example, goods made to measure.

In any event, no reimbursement will be made if the product has been used beyond the mere opening of its packaging, if it is not returned in the same condition as received, or if it has been damaged after delivery due to reasons not attributable to DAREELS DESIGN.

Furthermore, products must be returned using or including all original packaging, accessories, components, instructions, and any accompanying documentation, along with a copy of the purchase invoice. Failure to do so may entitle DAREELS DESIGN to claim compensation.

11.2. Return of defective products or delivery errors

This applies in cases where the User believes that, at the time of delivery, the product does not conform to the contract or Order. The User must contact DAREELS DESIGN immediately to report the issue (defect or error), using the contact details provided in these Terms.

The User will then be informed of how to proceed with the return. Once returned, the product will be examined and the User will be informed within a reasonable period whether a refund or replacement is appropriate. Such refund or replacement will be carried out as soon as possible and, in any case, within 14 days from the date on which DAREELS DESIGN confirms by email that the refund or replacement of the non-conforming item is to proceed.

The full amount paid for products returned due to defects, when such defects exist, will be refunded, including delivery charges and any return costs incurred by the User. The refund will be issued using the same payment method used for the original purchase, unless the User specifies otherwise and clearly indicates the preferred method for the refund.

In any case, the rights recognised under applicable legislation for the User as a consumer and user shall always apply.

11.3. Guarantees

The User, as a consumer and user, benefits from free guarantees for any products that may be purchased via the Website, in accordance with the legally established terms for each product type. DAREELS DESIGN is liable for any lack of conformity that becomes apparent within three years of delivery.

In this respect, products shall be deemed to conform to the contract if: (i) they match the description provided by DAREELS DESIGN on the Website and possess the qualities presented therein; (ii) they are fit for the usual purpose of products of the same type; and (iii) they demonstrate the usual quality and performance expected of a product of the same type. If this is not the case with the delivered products, the User must proceed as described in section 11.2 (Return of defective products or delivery errors). However, some products sold on the Website may have non-uniform characteristics due to the natural materials used, and such features shall form part of the individual appearance of the product and will not be considered defects.

The User acknowledges and accepts that DAREELS DESIGN does not cover damage caused by misuse, negligence, physical damage, improper handling or assembly, or normal wear and tear. Products offered on our Website are intended solely for consumer use and not for commercial or resale purposes, and DAREELS DESIGN will not be liable for claims by third parties not related to the User.

Our commercial guarantee does not affect any rights granted by applicable legislation.

12. DISCLAIMER OF LIABILITY

Unless otherwise provided by law, DAREELS DESIGN shall not be held liable for the following losses, regardless of their origin:

(i) Any losses not attributable to any breach on its part.

(ii) Business losses (including loss of profits, income, contracts, anticipated savings, data, management time or office hours, goodwill, or unnecessary expenses incurred).

(iii) Any other indirect loss not reasonably foreseeable by both parties at the time the contract for the sale of the products was entered into.

DAREELS DESIGN also limits its liability in the following cases:

(i) DAREELS DESIGN endeavours to display products accurately on the Website but is not responsible for slight differences or inaccuracies that may arise due to screen resolution, browser issues, or similar factors.

(ii) DAREELS DESIGN will take all reasonable care to ensure that the product is handed over to the transport company. However, it shall not be liable for any harm resulting from transport issues due to Force Majeure causes, including strikes, road delays, or other sector-specific incidents.

(iii) Technical failures that, due to chance or other causes, hinder the proper functioning of the service via the internet. Website downtime for maintenance or other reasons. DAREELS DESIGN takes all reasonable steps to ensure the purchase, payment, and shipping/delivery process. Nonetheless, it disclaims liability for circumstances beyond its control or for Force Majeure events.

(iv) DAREELS DESIGN shall not be liable for misuse or wear and tear of products by the User. Nor will it be liable for incorrect returns made by the User. The User is responsible for returning the correct product.

(v) In general, DAREELS DESIGN shall not be liable for any failure or delay in fulfilling its obligations where such failure is due to events beyond its reasonable control, that is, due to Force Majeure, including but not limited to:

o Strikes, lockouts, or other industrial action.

o Civil unrest, riot, invasion, terrorist threat or attack, war (whether declared or not) or threat or preparation for war.

o Fire, explosion, storm, flood, earthquake, subsidence, epidemic, pandemic, or any other natural disaster.

o Impossibility of using trains, ships, aircraft, motor transport, or other public or private transport.

o Impossibility of using public or private telecommunications systems.

o Acts, decrees, legislation, regulations or restrictions by any government or public authority.

As such, obligations will be suspended for the duration of the Force Majeure event, and DAREELS DESIGN will be granted an extension of time equal to the duration of the Force Majeure event. DAREELS DESIGN will use all reasonable means to find a solution that allows it to fulfil its obligations despite the Force Majeure.

13. WRITTEN COMMUNICATIONS AND NOTICES

Applicable law may require that certain communications or information we send you must be in writing.

By using this Website, the User agrees that most communications with DAREELS DESIGN will be electronic (email or notices published on the Website).

For contractual purposes, the User consents to this electronic means of communication and acknowledges that all contracts, notifications, information and other communications sent by DAREELS DESIGN electronically comply with legal requirements of being in writing. This condition shall not affect the rights granted by law to the User.

The User may send notifications and/or communicate with DAREELS DESIGN using the contact details provided in these Terms and, where applicable, via the Website’s contact sections.

Unless otherwise stated, DAREELS DESIGN may contact or notify the User via their email address or the postal address provided when placing an Order.

A notice will be deemed received 24 hours after an email is sent, or three days after a letter is posted. Proof of notice may be established by demonstrating, in the case of a letter, that it was correctly addressed, properly stamped and posted; and in the case of an email, that it was sent to the recipient’s specified email address.

14. ASSIGNMENT OF RIGHTS AND OBLIGATIONS

The contract is binding on both parties and their respective successors and assigns.

The User may not assign, transfer, encumber or otherwise dispose of the contract or any of the rights or obligations arising under it without prior written consent from DAREELS DESIGN.

DAREELS DESIGN may assign, transfer, encumber, subcontract or otherwise dispose of a contract or any of the rights or obligations arising under it, at any time during its term. To avoid any doubt, such actions will not affect the User’s rights as a consumer nor will they void, reduce, or otherwise limit any warranties, whether express or implied, granted by DAREELS DESIGN.

15. WAIVER

No waiver by DAREELS DESIGN of any specific right or legal action or the failure to require strict performance by the User of any obligation shall constitute a waiver of other rights or actions arising under a contract or these Terms, nor shall it exempt the User from fulfilling their obligations.

No waiver by DAREELS DESIGN of any of these Terms or of any rights or actions arising under a contract shall be effective unless it is expressly stated to be a waiver and is communicated to the User in writing.

16. SEVERABILITY

If any of these Terms is declared null and void by a final decision issued by a competent authority, the remaining clauses shall remain in effect and shall not be affected by such declaration of invalidity.

17. ENTIRE AGREEMENT

These Terms and any document expressly referred to herein constitute the entire agreement between the User and DAREELS DESIGN in relation to the subject matter of sale and replace any other prior agreement, understanding or promise made orally or in writing between the same parties.

The User and DAREELS DESIGN acknowledge that they have entered into the contract without relying on any statement or promise made by the other party, except as expressly set out in these Terms.

18. DATA PROTECTION

The personal data or information that the User provides to DAREELS DESIGN during a transaction on the Website shall be processed in accordance with the provisions of the Privacy Policy (which is included, where applicable, in the Legal Notice and Terms of Use). By accessing, browsing and/or using the Website, the User consents to the processing of such data and information and declares that all data provided is truthful.

19. APPLICABLE LAW AND JURISDICTION

Access to, browsing and/or use of this Website and the contracts for the purchase of products through it shall be governed by Spanish law.

Any dispute, issue or disagreement that arises or is related to the access to, browsing and/or use of the Website, or to the interpretation and performance of these Terms, or to the contracts of sale between DAREELS DESIGN and the User, shall be submitted to the non-exclusive jurisdiction of the Spanish courts and tribunals.

If the User is contracting as a consumer, nothing in this clause shall affect the rights granted to them by current legislation.

20. COMPLAINTS AND CLAIMS

The User may submit complaints, claims or any other comments to DAREELS DESIGN using the contact details provided in these Terms.

Additionally, DAREELS DESIGN has official complaint forms available to consumers and users, which may be requested at any time by contacting DAREELS DESIGN using the contact details provided in these Terms.

Furthermore, if a dispute arises from the conclusion of this purchase contract between DAREELS DESIGN and the User, the User, as a consumer, may seek an out-of-court settlement in accordance with Regulation (EU) No 524/2013 of the European Parliament and of the Council of 21 May 2013, on online dispute resolution for consumer disputes and amending Regulation (EC) No 2006/2004 and Directive 2009/22/EC.
